A draft agreement

Terms of Service

A review-ready structure for access, accounts, learning integrity, content rights, and optional services.

DRAFT - REQUIRES PROFESSIONAL LEGAL REVIEWThis page is a technical and policy foundation, not legal advice or legal approval.

Agreement and service

These draft terms govern use of Acadanex, a learning and discovery platform. The legal entity, effective date, governing law, venue, notices contact, and contracting details are placeholders requiring legal review.

Free public learning

Public curriculum, lessons, questions, assessments, search, and AI Tools Directory content should remain available without an account where the product marks it public. Availability and content scope may change as the service develops.

Accounts and subscriptions

Accounts are optional except for account-specific features. Users are responsible for protecting their credentials and for activity under their sessions. Optional subscriptions, billing terms, cancellations, taxes, refunds, and provider-specific terms require separate reviewed language before activation.

Acceptable use and educational integrity

Users must not abuse the service, bypass access controls, submit malicious files, infringe rights, disrupt operations, impersonate people or institutions, or use generated material to misrepresent academic work. The final rules require legal and academic-integrity review.

AI, uploads, and user content

AI features are assistive and may be unavailable. Users must not submit secrets, highly sensitive information, or material they lack permission to process. AI output requires independent review. Uploads and user-generated content require final ownership, license, moderation, retention, and takedown language.

Intellectual property and third parties

Acadanex-owned software, original content, marks, and design remain protected. Third-party content and tools remain subject to their own licenses and terms. Unauthorized copying of protected textbooks, question banks, paid courses, answer keys, and solution manuals is prohibited.

Disclaimers, liability, termination, and changes

Educational content and AI output require appropriate judgment and are not a substitute for professional advice. Disclaimers, warranty exclusions, liability limits, suspension, termination, account deletion, service changes, and dispute provisions require qualified legal drafting for each target jurisdiction.
